1. Our Services

Welcome to Vecinos App! Vecinos App is a space where neighbors connect to the neighborhoods they care about. We believe that by uniting neighbors, we can create a kinder world where everyone is part of a community where they enjoy living. This Member Agreement (the "Terms") governs your rights and responsibilities related to Vecinos App services, including all Vecinos App websites, domains, applications, products, services, features, and marketing campaigns (the "Services") if you have your place of residence or ordinary establishment in the United States, Mexico, Central America, the Caribbean, and South America. These Terms do not apply to agencies or clients, and the Services do not include agency pages or our ad service. When you register to use our Services, you become a "Member." If you have chosen not to register for our Services, you may still be able to access certain features or access them as a "Visitor." By accessing or using our Services, whether as a Member or Visitor, you acknowledge and agree that you have read, understood, and agree to be bound by these Terms as a legally binding contract with Vecinos App (even if you are using the Services on behalf of a business). Please take a moment to review these legally binding Terms. If you accept these Terms and use the Services on behalf of a company, partnership, organization, or other legal entity, you represent and warrant that you are authorized to do so and that you have the authority to bind such entity to these Terms, in which case the words “you” and “your” as used in these Terms shall refer to such entity. The collection, use, and sharing of your personal information is described in our Privacy Policy and our Advertising and Cookie Policy. Your use of certain Services, including Business Services (as defined in our Business Services Terms), may be subject to additional terms, policies, and guidelines (“Supplemental Terms”), and such Supplemental Terms will be listed in these Terms or presented to you on the Services. If these Terms are inconsistent with the Supplemental Terms, the Supplemental Terms will control with respect to that Service. Throughout these Terms, we use “Vecinos App,” “Vecinos,” “we,” “us,” and “our” to refer to the company that provides our Services to you. The Services are operated and provided by Vecinos LLC., a company registered in Delaware, USA. *IMPORTANT: MEMBERS AND VISITORS FROM THE UNITED STATES PLEASE CAREFULLY REVIEW THE ARBITRATION AGREEMENT SET FORTH IN SECTION 16(a) BELOW, AS IT WILL REQUIRE YOU TO RESOLVE DISPUTES WITH VECINOS APP INDIVIDUALLY THROUGH FINAL AND BINDING ARBITRATION.

2. Joining the Community

[A] Suitability. You may use our Services only if you can legally form a binding contract with Vecinos App, and only in compliance with these Terms and all applicable laws. You may not use the Services if: (1) you are under the age of 13, or parental or guardian consent is required under applicable law before your personal information can be collected or processed in connection with the Services (for example, COPPA compliance); (2) you are a registered sex offender in any jurisdiction or are subject to an applicable law, order, or legal action prohibiting you from using or accessing an online service that permits use by minors; (3) we have previously disabled your Account for violating these Terms or our other Terms or supplemental policies; (4) our Services are not directed to your geographic territory; or (5) you are prohibited by applicable law from accessing or receiving our Services. Except as otherwise provided in the Business Services Terms, we reserve the right to refuse registration, access, or use of our Services to any individual or household at any time and for any reason.[B] Becoming a Member. When you register to become a Member, you must provide us with accurate and complete information. We reserve the right to refuse and cancel any registration that is made with false or inaccurate information, or that is submitted in violation of these Terms.[C] Account Types and Access. Members may create, operate, maintain, or use an account on the Services (“Account(s)”) for personal and/or business use. If you use our Business Services, including, but not limited to, creating or claiming a page that advertises or contains other information about your business (a “Business Page”), then you agree to our Business Services Terms, which are incorporated into these Terms. Each individual is limited to one Account per residence, and each business is limited to one Account per business location. You are responsible for maintaining the security of your Account login information and must keep such login information confidential. You are responsible for all activity that occurs under your Account. You must notify us immediately if you suspect or become aware of any unauthorized use or access to your Account.[D] Permitted Activities. You may use, access, search, interact with, or otherwise make use of our Services only for the purposes for which they are provided and through the means we make available to you (such as our website, applications, and APIs), and in each case subject to the Supplemental Terms we provide that govern your permitted uses.

3. Our License Grant to You

Subject to your full and continued compliance with these Terms and all applicable guidelines and policies, Vecinos App hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, and freely revocable license to access and use the Services as provided herein. The foregoing license grant is not a sale of the Services or any portion thereof, and Vecinos App retains all of our right, title, and interest in and to the Services and all copies thereof. 4. Rights You Grant [A] Generally. Some areas of the Services allow Members to post, submit, upload, transmit, or otherwise make available on the Services content such as profile pictures or information, photos, images, music, videos, information, comments, reactions, recommendations, questions, messages, and other content or information ("Content") (any Content that a Member makes available or submits is referred to as "Member Content"). You retain ownership of your Member Content. [B] License Grant to Vecinos App. To the extent permitted by applicable law, you grant Vecinos App a non-exclusive, transferable, fully sublicensable (through multiple tiers), royalty-free, worldwide license to host, use, distribute, modify, copy, publish, list information relating to, edit, translate, distribute, syndicate, publicly perform, publicly display, and make derivative works from your Member Content. We will exercise our rights under the foregoing license subject to your Account settings, the choices you make when posting your Member Content, and in accordance with data protection laws (Privacy Policy). You represent and warrant that you are the creator and owner of your Member Content, or that you have the necessary licenses, rights, consents, and permissions to authorize Vecinos App to exercise the licenses granted by you in this section in the manner contemplated by these Terms.[C] License Grant to Other Members. You also hereby grant each Member of the Services a non-exclusive license to access your Member Content through the Services and to use, reproduce, distribute, display, and perform such Member Content as permitted by the functionality of the Services and under these Terms.[D] Use of Your Member Content with Sponsored Posts. To the extent permitted by applicable law, you grant us permission to use your name, neighborhood, profile picture, and information about your interactions with the Services alongside, adjacent to, or in connection with advertisements, offers, and in connection with our efforts to promote Sponsored Content that we display on the Services, without additional compensation to you. We may also publish and republish information about your interactions with the Services, along with your name and profile picture, in different areas of the Services from time to time, including any of your Member Content (such as recommendations) for a business in connection with that business's other advertisements and Business Pages on the Services. In doing so, we will use your personal information in accordance with data protection laws and our Privacy Policy.[E] Feedback. We invite you to share with us any comments, suggestions, or ideas you have about Vecinos App and our Services ("Feedback"). You agree that by sharing your Feedback, you hereby grant Vecinos Apps an unlimited, perpetual, irrevocable, non-exclusive, sublicensable, transferable, fully paid, and royalty-free right to use the Feedback as we see fit and in connection with any of our products and services now known or hereafter developed.[F] Sharing Content. We encourage you to share Vecinos App Content through our sharing features, including the Share button and using our privacy settings to share member information by taking a screenshot. Copying, sharing, or redistributing Content by any other means, including through web scraping, is prohibited. [G] Software. Your use of Vecinos App may include downloading software to your computer, phone, tablet, or other device. We may require you to accept updates to our Services that you have installed on your computer or mobile device. You acknowledge and agree that we may automatically update such software, and the then-current version of these Terms will apply to any updates.

5. Be a Good Neighbor

[a.] Community Standards. At Vecinos App, we believe that neighborly behavior is the foundation of any community. Therefore, Content that we determine violates the Community Standards, as well as users who do not comply with these guidelines, may be reported at the request of a Vecinos App staff member or another Community user. These Terms incorporate by reference our Community Standards regarding the appropriate use of Vecinos App. All of our Community Standards apply to Content submitted on Vecinos App, including submissions in Groups and Private Messages. We may limit the distribution or remove Content that we determine violates the Community Standards. We reserve the right to proactively moderate Content, although we expressly disclaim any obligation to do so, and we may remove Content, suspend, delete, or deactivate your Account, limit Account privileges, or otherwise refuse service to you if you violate our Community Standards, these Terms, or our other policies, or if you infringe intellectual property, or if you engage in behavior that we believe may harm Vecinos App or Vecinos App community.[b.] Prohibited Conduct. Without limiting other restrictions contained in these Terms, you agree that under no circumstances will you: (i) gain or attempt to gain unauthorized access to any portion of the Services, including the Accounts of other Members (for example, through the use of bots or other automation, as well as unauthorized use of legitimate Member credentials); (ii) interfere with, disrupt, or damage our Services, or attempt to do so (for example, by posting viruses, instigating a denial-of-service attack, or spamming Members); (iii) attempt to gain access to or tamper with non-public areas of the Services, our computer systems, and any technical delivery systems of our providers; (iv) attempt to probe, scan, or test the vulnerability of our systems, networks, or Services, or to breach any security or authentication measures; (v) perform facial recognition or other biometric analysis of Content (as defined below) posted on Vecinos App; (vi) develop, support, or use software, devices, scripts, robots, or any other means or processes (including crawlers, browser plugins, add-ons, or any other technology) to crawl the Services or copy profiles and other data from the Services; or (vii) access or use the Services in any unlawful or unintended manner. For clarity, any attempt to engage in any of the behaviors listed in this section is also prohibited.[c.] Disputes between Members; Waiver of Claims against Vecinos App. In the real world and online, neighbors sometimes disagree. If you have a dispute with another Member, we hope you can resolve it amicably. However, if you cannot, please understand that Vecinos App is not responsible for the actions of our Members. Each of our Members is solely responsible for their own actions and behavior, whether they are using the App or chatting at the door. Accordingly, you agree that Vecinos App has no responsibility for the conduct of Members or other third parties. And, to the extent permitted by applicable law, you hereby release the Vecinos Entities (defined below) from losses, liabilities, claims, demands, and damages (direct and indirect) of every kind and nature, known and unknown, arising out of or in any way related to disputes involving you and other Members.[d.] Community Moderation. Some Members are provided with additional Account features to use in supporting their neighborhood, including moderation tools. WE ARE NOT RESPONSIBLE FOR ANY ACTIONS TAKEN BY THESE MEMBERS WHILE USING THESE ACCOUNT FEATURES. We reserve the right to override any actions taken by these Members if, in our sole discretion, we believe such action is not in the best interest of Vecinos App. We reserve the right to revoke or limit a Member's access to these tools at any time, with or without notice, for any or no reason, including for breach of these Terms or any relevant policies or conduct. If you are given access to these additional Account features, including moderation tools, then: • You agree that you are taking all actions related to community moderation voluntarily and are not an employee or contractor of Vecinos App.• You may not represent that you are authorized to act on behalf of Vecinos App. • You may not enter into any agreement with a third party on behalf of Vecinos App. • You may not perform moderation actions in exchange for any form of compensation, consideration, gift, or favor from a third party. • If you have access to any non-public information through these Account features, you will use such information only in connection with your volunteer role.

6. Member Transactions

[a.] Products and services offered by Members. You, and not Vecinos App, are responsible for your own decisions and actions regarding the Services. Vecinos App does not own or sell any of the products or services listed by Members on the Services (such as in the "Buy and Sell" category). Therefore, any actual contract entered into is between the Member making an offer and the Member seeking to purchase or acquire those goods or services. Vecinos App does not process payments related to any transactions between Members entered into on or through the Services. [b.] Involving other Members. Vecinos App does not interview or conduct background checks, monitor, supervise, direct, or control Members. Furthermore, your use of Vecinos App to find a service, through search pages, business listings, or any other similar feature, does not make us an employer, employment agency, representative, or agent of or for you or any other Member or service provider. In turn, you acknowledge and agree that no such relationship is intended or created by these Terms or your use of the Services. If you and another Member choose to work together, you (and not Vecinos App) are solely responsible for complying with applicable laws, such as tax and employment laws. Members are not independent contractors, employees, joint ventures, franchisees, or service providers of or to Vecinos App. [c.] Prohibited Transactions. You may not use the Services to solicit, advertise to, or in any way contact Members for any purpose unrelated to the Services. You may not use the Services to collect contact information or other personal information from Members, by electronic or other means, without our prior written consent. [d.] Vecinos App only provides a venue. Vecinos App is not a party to any interactions, transactions, or disputes between Members. And while we may, in our discretion, help facilitate the resolution of disputes, we have no control over, and do not guarantee: (i) the existence, quality, safety, or legality of any goods or services listed by Members on the Services; (ii) the truth or accuracy of any Content or Member listings; (iii) the ability of Members to sell or pay for any goods or services; (iv) that Members who choose to enter into a contract with each other will actually complete the transaction; or (v) the integrity, responsibility, or actions of any Member. Vecinos App reserves the right to remove any Member's listing from the Services for any or no reason, at any time, with or without notice. When interacting with other Members, you should use caution and common sense to protect your personal safety and property, just as you would when interacting with others you do not know. NEITHER VECINOS APP NOR OUR AFFILIATED COMPANIES ARE RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE SERVICES. NEITHER VECINOS APP NOR OUR AFFILIATED COMPANIES SHALL BE LIABLE FOR ANY CLAIM, INJURY, OR DAMAGE ARISING IN CONNECTION WITH YOUR USE OF THE SERVICES.

7. Notification Preferences

a. Notifications. By default, you will receive notifications from Vecinos App related to your use and interactions with the Services within them, to the email address linked to your Account and on your device. You may also receive other types of notifications, such as marketing notifications. You can change your preferences for receiving messages from Vecinos App and customize your default notification settings in your profile within Vecinos App. b. Invitations. You may use our Services to send non-Members invitations to register for the Services ("Invitations"), such as by postal mail, email, or text message to register. You acknowledge that these Invitations, which we may assist in providing through our Services, are sent by you and not by Vecinos App, and Invitations sent by postal mail are sent by Vecinos App on your behalf. Such invitations may identify you as the person inviting the user and may include details about your neighborhood. For example, you may invite your neighbors to Vecinos App by requesting that we send them an Invitation, which may include your name and the fact that you are a neighborhood resident. You acknowledge that certain third-party fees, such as those from your mobile carrier or internet service provider, may apply to the use and operation of your device in connection with sending an Invitation and that you are solely responsible for such third-party fees. c. Text Messaging. Vecinos App offers a text messaging service that provides Members with notifications relevant to their neighborhood, Account, or other Services, such as urgent alerts. Vecinos App does not charge for our text notifications, but your carrier may charge you for such messages. Text notifications may not be delivered if your phone is not within range of a broadcast site, or if there is insufficient network capacity available at a given time. Additionally, factors beyond the control of the user's wireless or internet service provider may interfere with message delivery, including equipment, terrain, proximity to buildings, foliage, and weather. You acknowledge that notifications may not be received in a timely manner and that neither Vecinos App nor your wireless service provider guarantees the delivery of text notifications. These notifications are not intended to replace any primary telephone service, such as a landline or mobile phone that can be used to contact emergency services. You acknowledge and agree that Vecinos App is not responsible for, and will not seek to hold Vecinos App liable for, any damages related to your use of the text notification service.

8. Promotions

All sweepstakes, contests, raffles, games, or similar activities (collectively, "Promotions") available through and as part of the Services may have additional terms and conditions. If you participate in any Promotion, please carefully review the specific rules for that Promotion, as well as our Privacy Policy. If and to the extent that such rules conflict with these Terms or the Privacy Policy, the applicable Promotion rules will govern.

9. Third-Party Sites and Services

Our Services may contain links to third-party websites, advertisers, services, special offers, or other events or activities that are not owned or controlled by Vecinos App. We do not endorse and assume no responsibility for such third-party websites, information, materials, products, or services. If you access any third-party websites, advertisements, services, or other content from Vecinos App, you do so at your own risk. Vecinos App may not be able to warn you that you are leaving the Services and that you are subject to the terms and conditions of another website or domain not under the control of Vecinos App. You agree that Vecinos App has no liability arising from your use of or access to any third-party website, service, or content.

10. Changes to Our Service

We may offer additional Services and product features, or add, change, or discontinue our existing Services and product features at any time and in any region, with or without prior notice. If you are dissatisfied, your sole recourse is to discontinue using our Services or the affected feature.

11. Restrictions on Our Licensors

Some of the information and Services available through Vecinos App are licensed or supported by third parties. These Terms and third-party disclosures apply to your use of the Services.

12. Indemnification

You agree to defend, indemnify, and hold harmless Vecinos App and our subsidiaries, related companies, officers, directors, employees, agents, representatives, partners, and licensors (the “Vecinos App Entities”) from any and all claims, liabilities, damages, losses, and expenses, including, but not limited to, reasonable attorneys' fees and costs, made by any third party due to or arising out of: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of applicable laws or regulations; (d) your violation of any rights of another party, including Members; (e) your interactions and transactions with other Members; or (f) your Member Content. We reserve the right to control the defense of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims and not to settle any claim without our prior written consent. You agree that the provisions of this section will survive any termination of your Account(s), the Terms, and/or your access to the Services.

13. Disclaimers; Limitation of Liability

a. Disclaimer. You understand and agree that, to the maximum extent permitted by applicable law, your access to and use of the Services or any Content is at your sole risk. Our Services are provided to you on an “AS IS” and “AS AVAILABLE” basis. Without limiting the foregoing and to the maximum extent permitted by applicable law, the “Vecinos App Entities” expressly disclaim all warranties, representations, and conditions of any kind, whether express or implied, including, but not limited to, implied warranties or conditions of merchantability, fitness for a particular purpose, and non-infringement. We endeavor to keep the Services up and running, uninterrupted, and error-free, but we cannot promise that we will always achieve this. We also cannot guarantee that the information available on the Services will be accurate or available. Therefore, to the extent permitted by applicable law, we make no warranties or representations, and we disclaim all liability for: (i) the completeness, accuracy, availability, timeliness, security, or reliability of the Services; (ii) any harm to computer systems, loss of data, or other damage or harm resulting from your access to or use of the Services; (iii) the deletion of, or failure to store or transmit, any Content and other communications stored by the Services; (iv) viruses or other harmful components distributed by the Services; and (v) whether the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. Furthermore, to the extent permitted by applicable law, you acknowledge and agree that no advice or information, whether oral or written, obtained from the “Vecinos App Entities” or through the Services will create any warranty not expressly stated in these Terms. b. Limitations of Liability. If we fail to comply with these Terms, we are only liable for losses or damages you suffer that are a foreseeable result of our willful breach of these Terms or our willful failure to act with reasonable care and diligence; and, to the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, or any loss of data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the Services; (ii) any conduct or Content of any third party on the Services, including without limitation any defamatory, offensive, or unlawful conduct of other users or third parties; (iii) any Content obtained from the Services; or (iv) unauthorized access, use, or alteration of your Account, transmissions, or Content. The limitations in this sub-section will apply to any theory of liability, whether based on warranty, contract, statute, tort, or otherwise, and whether or not the parties have been informed of the possibility of such damages, and even if a remedy set forth herein is found to have failed of its essential purpose. IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE “VECINOS APP ENTITIES” EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID OR PAYABLE TO VECINOS APP BY YOU FOR THE SERVICES DURING THE SIX (6) MONTH PERIOD PRIOR TO THE ACT, OMISSION, OR EVENT GIVING RISE TO SUCH LIABILITY; OR (B) TWENTY U.S. DOLLARS ($20) (OR ITS EQUIVALENT IN LOCAL CURRENCY). c. Disclaimer of Liability for the Conduct of Other Members. You are solely responsible for all of your communications and interactions with other users of the Services. You understand that Vecinos App makes no attempt to verify Member statements or other Content on the Services. Vecinos App does not warrant that any goods or services provided by third parties will meet your needs or be available on an uninterrupted, secure, or error-free basis. Vecinos App does not guarantee the quality of such goods or services, nor the accuracy, timeliness, truthfulness, completeness, or reliability of any content made available by third parties on or through the Services. d. Vecinos App is not an advisor. Vecinos App does not offer, nor does it purport to offer, financial or real estate advice. Vecinos App is not an attorney, escrow agent, lender, or real estate advisor representing any Member. VECINOS APP AND OUR AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, AS TO THE EXISTENCE, OWNERSHIP, LEGAL STATUS (INCLUDING, BUT NOT LIMITED TO, BUILDING CODE COMPLIANCE AND COMPLIANCE WITH ACCESSIBILITY LAWS), SUITABILITY, OR CONDITION OF ANY PROPERTY LISTED ON VECINOS APP, OR AS TO THE ACCURACY OR COMPLETENESS OF ANY INFORMATION ABOUT A PROPERTY. e. Exclusion of Damages. Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply to you, and you may have additional rights. f. Basis of the Bargain. The limitations on damages set forth above are fundamental elements of the basis of the bargain between the “Vecinos App Entities” and you.

14. Dispute Resolution

If a dispute arises between you and Vecinos App, our goal is to provide you with a neutral and cost-effective means to resolve the dispute quickly. Accordingly, if you have a dispute with Vecinos App, you agree to contact us and attempt to resolve the dispute informally before pursuing other avenues, including arbitration as set forth in Section 16(a) below.

15. General

a. Term and Termination. The Terms begin on the date you accept them (as described in the preamble above) and remain in full force and effect as long as you access or use the Services, unless terminated earlier in accordance with the Terms. i. Termination by You. You may terminate these Terms with Vecinos App at any time by deactivating your Account(s) and discontinuing your use of the Services. ii. Termination by Vecinos. We may suspend, terminate, delete, or deactivate your Account(s) or cease providing all or part of the Services to you at any time for any reason or no reason, with or without prior notice, without liability to you. iii. Survival. In the event of termination by either you or us, Section 4 (Rights You Grant), Section 12 (Indemnification), Section 13 (Disclaimers; Limitation of Liability), Section 14 (Visiting Law and Dispute Resolution), Section 15 (General), and Section 16 (Jurisdiction-Specific Provisions) of these Terms will survive.b. Member Relations. We care about your concerns, problems, thoughts, and suggestions. Please visit www.vecinos.com to find answers to common questions or email us at info@vecinos.com. c. Infringement. If you believe that Content on the Services infringes your copyright, you may contact our notification agent at Vecinos Inc. at admin@vecinos.com. d. Integration. These Terms, including our Community Guidelines, our Business Terms of Service, as applicable, and any other Supplemental Terms and policies referenced herein, constitute the entire agreement between you and us with respect to our Services and supersede any other agreements or understandings (oral or written), except that in the event of a conflict between these Terms and the Supplemental Terms, the Supplemental Terms will prevail solely with respect to the Services to which they apply. e. Updates. We reserve the right to modify these Terms and any of the Supplemental Terms at any time. We will notify you of any material changes as required by law (for example, by sending you an email or posting a notice of amendment in your neighborhood newsfeed). Such changes to the Terms and the Supplemental Terms will be effective immediately for new Visitors. Changes to applicable policies and guidelines will be effective immediately, unless otherwise indicated. If you continue to use Vecinos App after a change to the Terms or any applicable Supplemental Terms, you accept and agree to be bound by the new terms; if you do not agree to the new terms, you must stop using the Services and delete your Account(s). f. Notices. Notice to Vecinos App under these Terms must be in writing and sent to Vecinos App using the relevant contact information set forth in the introductory paragraph above. Notices will be deemed given upon personal delivery, upon delivery if by postal mail, or upon valid transmission via email. g. No representation. These Terms do not create any agency, partnership, joint venture, joint control, employment, or franchise relationship between you and Vecinos App. h. Miscellaneous. To the extent permitted by applicable law, the Spanish version of these Terms is binding, and other translations are for convenience only. You may not assign any of your rights or obligations under these Terms without our prior written consent, which consent may be withheld in our sole discretion. If any provision of these Terms is deemed unenforceable, that provision will be severed from these Terms and will not affect the validity and enforceability of any remaining provisions. Except as expressly provided in this Agreement, this Agreement is intended solely for the benefit of you and the Neighborhood Entities, and is not intended to confer any benefit or create any rights in favor of any Person other than you and the Neighborhood Entities. Our failure to act in a particular circumstance does not waive our right to act with respect to that or any other circumstance. We will be exempt from any liability arising from a circumstance beyond our reasonable control. You permanently and at all times represent and warrant that you are not, nor are you any person with access to your Account, nor any entity or person who (directly or indirectly) owns, controls, is linked to you, acts on your behalf, or is otherwise associated with you, subject to any financial, economic, or trade sanctions or embargo, or included on any list of prohibited or restricted parties or territories, including any lists maintained from time to time by the United Nations Security Council, the Government of the United Kingdom, the Government of the United States, the European Union or its member states, or any member state of the European Free Trade Association, or other applicable governmental authority. If, at any relevant time, the warranty described in the preceding sentence is no longer true, complete, and accurate, you must notify us immediately.

16. Specific Provisions: Jurisdiction-Arbitration

i. Governing Law, Jurisdiction, and Venue. These Terms are governed by California law, without giving effect to any conflict of law principles, except as otherwise provided in the Arbitration Agreement section of these Terms. However, the governing law provision regarding the interpretation of these Terms is not intended to create any other substantive right for non-Californians to assert claims under California law, whether by statute, common law, or otherwise. This section is intended only to specify the use of California law in interpreting these Terms. Both you and Vecinos App agree that all claims and disputes arising out of or relating to these Terms (and any Supplemental Terms unless expressly set forth otherwise in such Supplemental Terms) that are not subject to arbitration under these Terms will be resolved exclusively in the United States District Court for the Northern District of California or a state court located in San Francisco County, and you hereby submit to the exclusive jurisdiction thereof. ii. Arbitration Agreement. You and Vecinos App agree to the arbitration and dispute resolution terms in this section (the “Arbitration Agreement”). For purposes of this Arbitration Agreement, references to “Vecinos,” “you,” “we,” and “us” include our respective subsidiaries, affiliates, agents, employees, employers, partners, shareholders, predecessors in interest, successors, assigns, and heirs. We encourage you to carefully read these important terms, which include the requirement that claims arising out of or related to these Terms (and any Supplemental Terms unless expressly set forth otherwise in those Supplemental Terms) be brought individually and subject to arbitration, subject to the exceptions in Section 16(a)(iii), Section 16(a)(iv), and Section 16(a)(v), and include instructions on how to opt out if you do not agree. iii. Small Claims Court. Notwithstanding the foregoing, you or Vecinos App may bring an individual action in small claims court. iv. Emergency Equitable Relief. Notwithstanding the foregoing, you or Vecinos App may seek emergency equitable relief before a state or federal court in the United States to maintain the status quo pending arbitration. A request for interim measures shall not be deemed a waiver of any other rights or obligations under this Arbitration Agreement. v. Claims Not Subject to Arbitration. Notwithstanding the foregoing, claims of defamation, violation of the Computer Fraud and Abuse Act, and infringement or misappropriation of the other party's patent, copyright, trademark, or trade secrets shall not be subject to this Arbitration Agreement. vi. Applicability. You agree that any dispute or claim relating in any way to your access to or use of the Services (including, but not limited to, the Business Services), or to any aspect of your relationship with Vecinos App (including, but not limited to, as a business), will be resolved by binding arbitration, rather than in court. vii. Arbitration Rules and Forum. These Terms evidence a transaction involving interstate commerce, and notwithstanding the foregoing provision regarding applicable substantive law, the United States Federal Arbitration Act, 9 U.S.C. §1 et seq. (“FAA”), will govern the interpretation and enforcement of this Arbitration Agreement and any arbitration proceedings. To commence an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to Vecinos, LLC., at admin@vecinos.com. Your letter must include: (i) the name, telephone number, mailing address, and email address of the party requesting arbitration, and the Account username, if applicable, and the email address associated with the Account; (ii) a statement of the legal claims asserted and the factual basis for such claims; (iii) a description of the requested relief and an accurate and good faith calculation of the amount in controversy in U.S. dollars; (iv) the applicable filing fee. The arbitration will be conducted by JAMS, an established alternative dispute resolution provider. Disputes involving claims and counterclaims of less than $250,000, excluding attorneys' fees and interest, will be subject to JAMS' most current version of the Streamlined Arbitration Rules and Procedures available at http://www.jamsadr.com/rules-streamlined-arbitration/. All other claims will be subject to JAMS' most current version of the Comprehensive Arbitration Rules and Procedures, available at http://www.jamsadr.com/rules-comprehensive-arbitration/. The JAMS rules are also available at www.jamsadr.com. If JAMS is unavailable to arbitrate, the parties will select an alternative arbitration forum. You may choose to have the arbitration conducted by telephone, based on written submissions, or at another mutually agreed-upon location. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.  viii. Authority of the Arbitrator. The arbitrator shall have exclusive authority to: (i) determine the scope and enforceability of this Arbitration Agreement; and (ii) resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement, including, but not limited to, any claim that all or any part of this Arbitration Agreement is void or voidable. The exceptions to the preceding sentence are: (i) all disputes arising out of or relating to the class action waiver, including any claim that all or any part of the class action waiver is unenforceable, illegal, void, or voidable, or that such class action waiver has been violated, shall be decided by a court of competent jurisdiction and not by an arbitrator; (ii) all disputes arising out of or relating to the payment of arbitration fees shall be decided solely by a court of competent jurisdiction and not by an arbitrator; and (iii) all disputes arising out of or relating to whether either party has complied with any condition prerequisite to arbitration shall be decided solely by a court of competent jurisdiction and not by an arbitrator. The arbitration will decide the rights and liabilities, if any, of you and Vecinos App. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim. The arbitrator shall have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under applicable law, the rules of the arbitral forum, and the Terms (including the Arbitration Agreement). The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The arbitrator's award is final and binding on you and us. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.  ix. Jury Trial Waiver. YOU AND VECINOS APP HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR JURY. There is no judge or jury in arbitration, and judicial review of an arbitration award is subject to very limited review. This clause will not prevent the parties from seeking remedies in aid of arbitration from a court of appropriate jurisdiction.  x. Waiver of Class or Other Non-Individualized Relief. ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. ONLY INDIVIDUAL RELIEF IS AVAILABLE, AND CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER. If a decision is issued stating that applicable law precludes enforcement of any of this subsection's limitations with respect to a particular claim for relief, then the claim must be severed from arbitration and filed in federal or state court located in San Francisco, California. All other claims will be arbitrated.  xi. Severability. Except as provided in Section 16(a)(x) (Waiver of Class or Other Non-Individualized Relief), if any part or parts of this Arbitration Agreement are found under the law to be invalid or unenforceable, then such specific part or parts shall be of no force or effect and shall be severed, and the remainder of the Arbitration Agreement shall continue in full force and effect.  xii. Survival of the Arbitration Agreement. This Arbitration Agreement shall survive the termination of your relationship with Vecinos App.  xiii. Material Changes. Notwithstanding anything to the contrary in these Terms, we agree that if Vecinos App makes any future material change to this Arbitration Agreement, you may reject that change within thirty (30) days after such change becomes effective by writing to Vecinos App at the following address: admin@vecinos.com.

COMMERCIAL SERVICES TERMS

(1.) Use of Vecinos App for Commercial Purposes: Welcome to Vecinos App! Vecinos App is a place where neighbors connect to the neighborhoods they care about. We believe that by bringing neighbors together, we can create a kinder world where everyone feels comfortable in a neighborhood. These Commercial Services Terms (the "Commercial Terms"), in addition to the Member Agreement (the "Member Agreement"), and together with the Business Terms (the "Business Terms"), govern your rights and responsibilities related to your use of Vecinos App Commercial Services if you have your ordinary place of residence or place of business in the United States, Mexico, Central America, the Caribbean, or South America. Capitalized words and other terms used but not defined in these Commercial Terms have the meanings described in the Member Agreement. “Business Services” are services and features offered to Members that are intended for commercial use, such as a Declared Business Page, Local Deals, Borough Sponsors, and other services listed here. By using Vecinos App Business Services, you agree that you have read, understand, and agree to be bound by these Business Terms, which, together with the underlying Member Agreement, constitute a legally binding contract. If you are accepting these Business Terms and using the Business Services on behalf of a company, partnership, organization, sole proprietorship, or other legal entity (a “Business”), you represent and warrant that you are authorized to do so and that you have the authority to bind such entity to these Business Terms, in which case the words “you” and “your” as used in these Business Terms shall refer to such entity. If you do not agree to these Terms of Business, or do not have the authorization and authority mentioned above, then you are not permitted to use the Business Services. FOR MEMBERS IN THE UNITED STATES: PLEASE READ THESE TERMS OF BUSINESS AND THE MEMBER AGREEMENT CAREFULLY, AS THEY REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN LAWSUITS OR CLASS ACTIONS, AND ALSO LIMIT THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.    (2.) Basic Concepts: a. Eligibility. The Business Services are available to Members who meet: (i) the Member eligibility requirements set forth in the Member Agreement and (ii) any applicable Business Service-specific eligibility requirements. We reserve the right to deny your ability to use any Business Service at any time, for any reason or no reason, without liability to you.   b. Termination of Business Services. In addition, and without limiting the scope of Section 15(a) (Term and Termination) in our Member Agreement, you may terminate these Business Terms with Vecinos App at any time by deactivating your Business Page and discontinuing your use of our Business Services or Account. We may suspend, cancel, delete, or deactivate your Account and/or Business Page or cease providing you with all or part of the Business Services at any time for any reason or no reason, with or without prior notice, without liability to you.   c. Availability of Business Services. We may modify or discontinue the availability of any Business Service at any time in our sole discretion without liability to you. We will notify you of any material modifications as required by law (for example, by sending you an email or posting a notice of amendment in your neighborhood newsfeed).   d. Your Obligations. By using the Business Services (including by claiming or creating a Business Page), you permanently represent and warrant at all times that: (i) you have the authority to act on behalf of the Business or businesses associated with or claimed through your Business Page and to bind such business (including the business entity) to these Business Terms; (ii) your use of the Business Services will be solely for business purposes and will be conducted in your capacity as an authorized representative of the business; (iii) your business and all content you submit to Vecinos App comply with all applicable laws, regulatory requirements, industry rules, and government regulations (collectively, “Applicable Laws”); (iv) your Member Content does not infringe or misappropriate the rights of any third party; (v) all information provided by you through the Business Services is complete and accurate; (vi) you have all necessary licenses, rights, permissions, and releases (including from any third party) in your Member Content to use and to grant Vecinos App all of the licenses in your Member Content described in the Terms; and (vii) except as expressly permitted by Vecinos App in writing, your Member Content does not include pixels, cookies, or other technology intended to track or record the activities of Vecinos App Members or Visitors. You acknowledge and agree that, where applicable, you are responsible for providing data usage notices to and receiving consents from all Members or Visitors who interact with your Member Content. You agree that Vecinos App will determine the size, placement, and positioning of your Member Content on the Services, and Vecinos App reserves the right to reject, disable, or remove your Member Content for any reason.   e. Business Verification. Some Business Services require Vecinos App to verify your business (including, but not limited to, information related to your business page, as defined below, and business registration documents). You agree to provide accurate information for verification purposes and acknowledge that if we cannot confirm the information you have provided, or if we learn that it is inaccurate, we may limit, suspend, or terminate your Account.   f. Interactions and Transactions with Members. Without limiting the scope of Section 5 (Being a Good Neighbor) or Section 6 (Member Transactions) of the Member Agreement, your use of the Business Services is subject to the Terms, our Community Guidelines, and our Business Posting Guidelines. You and your Business are responsible for your actions on Vecinos App. Furthermore, you acknowledge and agree that your and your Business's interactions with Members may affect your Business's reputation, and therefore, it is your sole responsibility to conduct yourself appropriately and carefully in your interactions with Members. For example, the politeness with which your Business responds to a negative review may affect Member perceptions as much as (or more than) the review itself. As stated in the Member Agreement, we are not a party to transactions or disputes between Members, including disputes over unfavorable reviews or other Member Content. WITHOUT LIMITING ANY TERM OF THE MEMBER AGREEMENT, YOU AGREE THAT VECINOS APP IS NOT RESPONSIBLE FOR YOUR OR YOUR BUSINESS'S INTERACTIONS WITH OTHER MEMBERS. We make no guarantees regarding the vetting of Members, and we do not interview, conduct background checks, monitor, supervise, or control Members.   g. Data Protection. You agree to ensure (and are solely responsible for ensuring) that: (i) your collection, use, and disclosure of information about a Member, Visitor, or other identifiable natural person or household (“Personal Information”) that you collect in connection with your use of the Business Services complies with applicable laws, including, without limitation, those related to privacy, data security, data protection, and direct marketing; (ii) you have given all notices to and obtained all consents from any person to whom such Personal Information pertains as required by Applicable Laws for your collection, use, and disclosure of such Personal Information; (iii) reasonable technical and organizational safeguards are employed to protect the confidentiality and security of such Personal Information; (iv) if you collect information from Members or Visitors, your Business Page makes it clear that you (and not Vecinos App) are collecting it; and (v) not use Personal Information obtained through a notice or request on your Business Page except for the purpose explained by such notice or request, unless you have the explicit consent of the relevant individuals to use the information for another purpose. You represent and warrant that if you provide Vecinos App with any Personal Information, you have obtained all rights and consents required under applicable law or otherwise to disclose such Personal Information to Vecinos App and for Vecinos App to use it as described in our Privacy Policy.    (3.) Use of Business Services: a. Business Pages. Business Pages on Vecinos App may be created and updated on Vecinos App: (i) based on third-party sources (such as business listing services); (ii) by Members who recommend a business in their neighborhood; or (iii) by Members who create or claim a Business Page. Business Pages can be public, meaning they can be viewed both inside and outside of Vecinos App. This means they are visible to external search engines, including for search engine optimization (SEO) purposes. If you claim your Business Page through your personal account, you can choose whether to make your Business Page visible externally (your personal account's visibility is not affected, even if you claim your Business Page with your personal account). You understand that Vecinos App assumes that your actions and those of other Members associated with your Business Page are authorized and legitimate. Vecinos App is not responsible for your Business Page or your Account, and has no obligation (but reserves the right) to verify the scope of authority of you or any other Member associated with your Business. Your Business Account is linked to your role with that business. If your position associated with a business ends (for example, if you resign), you must clarify that your Business Page is associated with that business, and if applicable, it must be transferred. For example, your employer may want someone else to claim and manage the company's business page. If you need help with page transfer or account deactivation, please contact us.   b. Business Page Information. Business Pages contain a basic set of details about the business or brand, such as the address, business category, phone number, and a location map (“Business Page Information”). Without limiting any rights granted to Vecinos App in the Member Agreement or imposing any additional obligations on Vecinos App, Vecinos App reserves the right to correct, modify, or license Business Page Information submitted by a Member. Business Page Information may be public and accessible or crawled by search engines. You acknowledge that Vecinos App may reformat or present Business Page Information in various ways (e.g., on a map) and may share Business Page Information with our partners. In some cases, Business Page Information may not be accurate and may not be updated quickly or at all. Business Page Information may also include notes, metrics, ratings, and other information about a business.   c. Messages. Messages you post from your Business Page or about your business (where that feature is available), such as Business Posts or replies to Members who recommended your business, will be linked and have the same visibility as your Business Page. However, replies to private messages are visible only to you and the Member to whom you replied. Members have the ability to opt out of receiving messages from any Member, including Members with Business Pages, and some Members who communicate or comment about you or your Business may opt out of receiving communications from you. You agree to comply with Members' choices.   d. Soliciting Recommendations or Reviews. You may ask your customers to review or recommend your Business on Vecinos App. You may solicit recommendations in person, by email, through social media, or by sharing a direct link to your Business Page. Our goal is for recommendations to serve as a window into a business's standing in your community. Accordingly, you agree to be honest, fair, and friendly, and not engage in conduct that may artificially inflate or damage a Business's reputation, such as offering discounts or other incentives in exchange for recommendations (including fraudulent recommendations) or with the intent to manipulate them. You and your business are responsible for complying with applicable laws and other requirements, such as anti-spam laws.   e. Direct Solicitation. Using your Account or Business Page to collect Personal Information about other Members without their permission for the purpose of direct solicitation or in violation of the Terms and Privacy Policy is prohibited. For example, if a Member comments on your Business Page praising your service, you must not use their email address from their Vecinos App profile to send them unsolicited advertisements.   f. Trademarks and Sponsors. You agree not to use Vecinos App's name, logo, or trademarks unless expressly permitted by Vecinos App in writing, and you may not imply that your Member Content or the Content of other Members (such as Member reviews of your Business) is sponsored or endorsed by Vecinos App.   g. Content. As stated in the Member Agreement, you must not provide us with any prohibited Content. Claims of copyright infringement must be addressed as stated in the Member Agreement. Vecinos App reserves the right to forward any further requests or claims based on your Member Content to your Business for resolution.   h. Your Website. You grant Vecinos App a non-transferable, non-exclusive, fully sublicensable (through multiple tiers), royalty-free, limited license to display your public Business website on the Services or to permit its display through iframes or other framing technology.    (4.) Payments for Commercial Services: Use of some Commercial Services may require a payment or fee on an order, usage, subscription, or other basis ("Payment"), including applicable taxes. To the extent such services include specific Supplemental Terms provided by Vecinos App and conflict with the Commercial Services Terms, those Supplemental Terms will apply. You agree to pay all Payments due and payable under these Commercial Terms or any applicable Supplemental Terms. ANY AND ALL PAYMENTS TO VECINOS APP ARE FINAL, NON-CANCELLABLE, AND NON-REFUNDABLE. Unless otherwise indicated, you will be charged at the time of purchase. When you make a Payment to Vecinos App, you agree to provide our trusted third-party payment processor (currently Mercadopago and its affiliates) with certain information related to your Payment ("Payment Information") to complete the transaction. You agree to keep your Payment Information up to date. We may update your payment method using information provided by our payment service providers. You authorize us to continue charging the applicable payment method after any update to your Payment Information.    (5.) Subscriptions: Vecinos App offers certain Commercial Services for which access and use are purchased or made available for a limited time (each a "Subscription"). The fee for a Subscription will be charged at regular intervals based on the applicable subscription date as shown to you at checkout, starting at the time of purchase. THE SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH SUBSCRIPTION PERIOD UNLESS AND UNTIL YOU CANCEL IT. Your Subscription may include a free trial period ("Free Trial"). At the beginning of each such free trial, you may be charged a nominal fee to ensure your payment information is accurate. Thereafter, you will have access to the specified Commercial Services without payment for the period specified in the offer (subject to the relevant Supplemental Terms, which may limit or condition your use of the Commercial Services during your Free Trial). You may cancel a Subscription or Free Trial through the interface of the applicable Business Services, or if no such option is available, by contacting us. Unless you cancel your Free Trial before the end of the Free Trial period, your Free Trial will automatically convert to a paid Subscription, and you will be charged the applicable Payment for the applicable Subscription.    (6.) Vecinos App Confidential Information: You and your Business acknowledge that Vecinos App may provide you with certain information that is proprietary and confidential to Vecinos App, such as aggregated statistics regarding neighborhood activity, neighborhood size, and neighborhood boundaries. You agree to: (i) keep this information confidential; (ii) not disclose this information to any third party; and (iii) use this information only as expressly permitted by Vecinos App for its internal business purposes (always subject to Section 2(g) (Data Protection) of these Business Terms). If you believe you are required to disclose any of the information described in this Section due to a subpoena or similar legal obligation, you will notify Vecinos App in writing before doing so, and you agree to provide Vecinos App with reasonable assistance if Vecinos App requests an order keeping the information confidential.    (7.) Indemnification. In addition, and without limiting the scope of Section 12 (Indemnification) of the Member Agreement, you agree to indemnify, defend, and hold harmless the “Vecinos App Entities” from and against any claims, damages, losses, liabilities, and expenses of any kind (including reasonable attorneys' fees and costs) related to any such claim, cause of action, or dispute due to or arising out of or in any way related to: (a) your actual or alleged breach of these Business Terms; (b) your use of the Business Services, or any Content, products, or services provided, promoted, or advertised by you in connection with the Business Services; or (c) any actions related to the Business Services taken by each individual with access to your Account, whether authorized or otherwise.    (8.) General: a. Updates. We reserve the right to modify these Business Terms, the Member Agreement, and any Supplemental Terms at any time as set forth in Section 15(e) (Updates) of the Member Agreement. By continuing to use the Business Services after such modification becomes effective, you accept and agree to be bound by the new terms. If you do not agree to the new terms, you must cease claiming your Business Page and cease using the Business Services. Except as otherwise set forth in these Business Terms or unless expressly agreed to by Vecinos App in a signed writing, nothing contained in any purchase order or other agreement will modify, supersede, or in any way add additional terms or conditions to these Business Terms.   b. Conflicts. If there is a conflict between these Business Terms and the Member Agreement, these Business Terms govern your use of the Business Services to the extent of the conflict. Certain Business Services may also have or be subject to certain Supplemental Terms and additional guidelines and policies. To the extent those Supplemental Terms and additional guidelines or policies conflict with the Business Terms, the additional terms will govern your use of those Business Services solely to the extent of the conflict.   c. Miscellaneous. To the extent permitted by applicable law, the Spanish version of these Business Terms is binding, and other translations are for convenience only. If any part or parts of these Business Terms are deemed invalid or unenforceable by law, such specific part or parts shall be of no force or effect and shall be severed, and the remainder of the Business Terms shall continue in full force and effect. Our failure to act in a particular circumstance does not waive our right to act with respect to that or any other circumstances. These Business Terms are personal to you, and you may not assign any of your rights or obligations under these Business Terms without our prior written consent, which consent may be withheld in our sole discretion. Except as expressly provided in this Agreement, this Agreement is intended solely for the benefit of you and the “Vecinos App Entities,” and is not intended to confer any benefits on or create any rights in favor of any person other than you and the “Vecinos App Entities.” All of our rights and obligations under these Business Terms are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise. We will be excused for any issues due to circumstances beyond our reasonable control. You represent and warrant on an ongoing basis and at all relevant times that you are not, nor is any person with access to your Account, nor any entity or person who (directly or indirectly) owns, controls, is associated with you, acts on your behalf, or is otherwise associated with you, subject to any financial, economic, or trade sanctions or embargoes, or otherwise designated on any list of prohibited or restricted parties or territories, including any lists maintained from time to time by the United Nations Security Council, the Government of the United Kingdom, the Government of the United States, the European Union or its member states, or any member state of the European Free Trade Association, or other applicable governmental authority. In the event that, at any relevant time, the warranty described in the preceding sentence ceases to be true, complete, and accurate, you must notify us immediately.

This policy explains how cookies, mobile advertising identifiers, and similar technologies are used on our website and applications (collectively, “Vecinos App” or our “Services”). 1. What is a cookie? A cookie is a small file containing a unique identifier that is placed on the web browser of your computer or mobile device when you visit a site. Cookies and similar technologies (which include pixels, tags, web beacons, software development kits (“SDKs”), and browser local storage technologies) (collectively, “cookies”) allow site/application operators to recognize your device and collect information from it when you interact with them. They use this information to understand how the site or application is used, remember user preferences, and enhance your browsing experience. Cookies are also used to make the advertising you see online more relevant to your interests.    2. What is a mobile advertising identifier? Most major phones and tablets include a mobile advertising identifier (e.g., an IDFA on iOS and an ADID on Android), which is a unique device identifier that allows third parties to connect your activities on that app with your activities on other, unrelated apps and websites. It is generally used to personalize advertising and evaluate advertising campaigns. Even without an advertising identifier on your mobile phone, you would still see ads, but those ads may be less relevant to you.   3. Who places cookies on my device? Cookies set by the site you visit are called "first-party cookies" (i.e., cookies placed by Vecinos App). Cookies placed by other parties are called "third-party cookies." Third-party cookies enable third-party features or functionality within the site, such as site analytics, advertising, and social media features. The parties that place these third-party cookies may recognize your computer or device both when you visit the website/application in question and when you visit other websites/applications. We do not control these third parties' use of your information, which is subject to their own privacy policies. Strictly necessary cookies are necessary for our Services to function. You can set your browser to block or alert you about these cookies, but certain parts of our Services will not work, and we cannot guarantee the security of our Services during your visit. Functional cookies allow us to offer you enhanced functionality and personalization. If you do not accept these cookies, some of our Services may not function properly. Preference cookies are used to build a profile of your interests and show you relevant information and ads. If you do not allow these cookies, you will experience less targeted advertising. Performance cookies collect information about how you use our Services (for example, which pages you visit and if you experience any errors). Persistent cookies remain on your device for a specified period of time specified in the cookie. • We use our own and third-party cookies to operate, understand, and improve Vecinos App, specifically: • To authenticate you and ensure the security of our Services: We use cookies to monitor login and status information. This allows us to know, for example, if you are logged in. • To remember your settings and preferences: We use cookies to recognize your browser and remember your preferences. For example, we use cookies to remember your language preferences. • For analytics and research: We use cookies to understand your use of Vecinos App and how we can improve our offerings. For example, we use cookies to learn which pages you visit and whether you open emails we send you. • To personalize your experience: We use cookies to personalize your use of Vecinos App, including to provide you with personalized advertising that may be better tailored to your needs. • For fraud, trust, security, and investigations: We use cookies to maintain the security of the Services, including to detect and prevent fraud and conduct investigations. 5. What third-party cookies are used on Vecinos App? A number of third-party cookies are installed on Vecinos App, some of which depend on your use of our Services. In general, the following types of third-party cookies may be placed when you use Vecinos App: • Social network login cookies: If you register or log in with a social network, a cookie may be installed. • Analytics cookies: We use analytics cookies to collect traffic data that helps us analyze how members and visitors access and use Vecinos App, and for other analytics services related to website activity and internet usage. • Advertising cookies: The Services allow third-party advertising companies we work with to use cookies to collect information about how you use Vecinos App and other sites and services over time. These companies use the information they collect to show you ads that they believe will be relevant to you on Vecinos App and elsewhere, and to evaluate ad performance. • Third-party cookies from content shared by Members: Members may share content on Vecinos App that originates from a third-party website or service, and that third-party website or service may set its own cookies when you interact with that content. For example, if a Member posts a YouTube video on Vecinos App, YouTube may set a cookie when you click to view the video. • Pixels: Our advertising partners may use pixels or similar technology to evaluate the success of sponsored posts or other advertising products they use. A "pixel" (also sometimes called a "web beacon" or "clear GIF") is a small piece of code, invisible to the user, that is placed on a web page or in an email and used in combination with a cookie to associate a particular activity or impression with the user; The advertiser includes it in their content so we can understand whether our Members interact with that content (for example, by clicking to view an offer). We may place our own pixel on an advertiser's website so we can understand whether our Members found the advertiser's content effective or interesting, determining whether the sponsored post prompted Members to take advantage of the advertised offer. This information helps us evaluate whether sponsored posts and other advertising offers are relevant and interesting to our Members and successful for the advertiser. • Software Development Kits (SDK): We and our partners and service providers include SDK in Vecinos App applications. SDK include third-party code and allow us to understand how our App is used and what actions occur in connection with the App, including when a Member registers or logs in. SDK are also used for advertising purposes, as well as for evaluation, personalization, and creation of similar audiences to advertise to.  6. Can I opt out of the use of my data for third-party personalized advertising? Yes, and here's how: • Browsers. You can reject or restrict the use of cookies by selecting the appropriate settings on your browser. However, limiting or rejecting cookies may affect your ability to use Vecinos App. To learn more about cookies, including how to see what cookies have been installed on your computer or mobile device and how to manage and delete them, visit www.allaboutcookies.org. Some advertising networks offer you the ability to opt out of targeted advertising. • Mobile apps. Your mobile device may include a feature that allows you to opt out of some types of personalized advertising using your mobile advertising identifier, such as the “limit ad tracking” option in your iOS or Android device privacy settings. Visit the Network Advertising Initiative's mobile choices page for more information. The Digital Advertising Alliance also offers a mobile app called AppChoices that allows you to opt out of interest-based advertising from participating advertisers. • Third Parties. Some of the advertising partners we work with offer opt-out tools, as indicated in the table above. Because we do not control any of these opt-out links, we are not responsible for the availability or accuracy of these mechanisms. Using these opt-out services will not prevent you from seeing all ads, but it may mean that the ads you see may be less relevant to you. You will also need to set these opt-out preferences on each browser or device you use.  7. Changes to this Policy. Our business is constantly changing, and our cookie policy will change as well, so we encourage you to review it frequently. We will notify you of any changes by posting the updated policy on this page with its effective date. Vecinos App Privacy Policy - Effective July 1, 2021

1. Our Services. Welcome to Vecinos App! Vecinos App is a place where neighbors connect to the neighborhoods they care about. We believe that by bringing neighbors together, we can create a kinder world where everyone feels comfortable in a neighborhood. We invite you to read this Privacy Policy (“Privacy Policy”), which explains our privacy practices and how we manage your personal information collected through Vecinos App, as well as through social media, our marketing activities, our live events, and other activities described in this Privacy Policy. This Privacy Policy also explains how we use and share such information and the choices you have. We use “Vecinos App” to refer to Vecinos App websites and our iOS and Android applications (also referred to as our “Services”). We also use “Vecinos App,” “we,” “us,” and “our” to refer to the companies that provide our Services as described in the Member Agreement. Unless otherwise stated, this Privacy Policy applies to all of our Services in all territories where Vecinos App offers its Services. Certain portions of this Policy apply only to Services offered in certain territories; see Section 11 for additional information. Capitalized words used but not defined have the meanings described in the Member Agreement.

2. What information is collected? We may collect personal information from you through technology that automatically collects information from your browser or device, and from third-party sources. Below are some examples. Please note that not all account types and features of Vecinos App are available in all territories, so some of the examples below may not apply where you live. We may also collect personal information not specifically mentioned below, which we use in accordance with this privacy policy or as otherwise described at the time of collection.    2.1. About You. • Your Contact Information • When you register for Vecinos App, you provide your name, address, phone number, profile picture, email address, location, date of birth, gender, demographic information, and similar information. • If you want to join Vecinos App, or use a Vecinos App service, before it has been introduced in your neighborhood, you can choose to provide us with your contact information and request that we notify you when we introduce the service to your neighborhood. • If you contact technical support, you can provide us with your contact information and a description of the problem so we can respond. • Data from other accounts. If you use a third party, such as Facebook, Google, or Apple, to log in to Vecinos App (or to subsequently connect your third-party account with your Vecinos App account), then you authorize the third party to share your personal information with us, including your name, photo, email address, and any other information you agree to share. • Posts, Interests, Location, and Recommendations • You can share information about yourself on your profile, including your interests, skills, a photo, information about your home, biographical information (such as your job, hometown, length of time living in the area, etc.), emergency contact information, or even what you like about your neighborhood. • You can share information about your interests, as well as join a Group or follow a neighborhood or topic. • You can post on Vecinos App or send a private message. Posts can include, but are not limited to, text, photos or videos, tagging people or places, offering items for sale, and anything else you'd like to share. • You can choose to share information about local businesses in the form of a recommendation, a review, or by creating a Business Page. • Payment Information. If you make a payment to or through Vecinos App, you are providing your payment card details and other payment information to our third-party payment processors (e.g., MercadoPago) to complete the transaction. • Survey Data. We may contact some Members to ask them to participate in a survey or other general study. If you choose to participate, you may provide us with information, feedback, and comments in response. • Contest, Sweepstakes, and Raffle Data. If you enter a contest, sweepstakes, or raffle, you may provide information, feedback, and comments in response. • Message and Email Data. We collect information about you when you send, receive, or interact with messages, emails, or physical mail in connection with our Services, including whether you have opened or acted on those messages. • Photos and Videos. You can choose to grant the Services permission to collect images, videos, and other information from your device's camera and photos, such as when you include images and videos in your posts. These files may include metadata indicating how, when, where, and by whom the files were created, and how they are formatted. Metadata can make your files more searchable and interactive, but they may be accessible to other members or anyone else who can access the files. • Contact lists. With your permission, we may sync your contacts with Vecinos App, including your name, email address, physical address, and phone number. You can also manually enter your neighbors' contact information. We use this to help you understand which of your contacts are already on Vecinos App, invite contacts who are not on Vecinos App to join, receive notifications when contacts join, and display more of what's relevant to you through personalization. • Geolocation. You can choose to grant the Services permission to access the precise geolocation of your mobile device, which we use to confirm your address and help us operate or personalize our Services, including by tagging posts, adding information to a map, and helping us show you more relevant content or ads. • Business information. If you use our Services for Business, we may share details about your association with a business and the services offered by you or the business.    2.2. From Your Browser and Device. With your permission, and where required by applicable law, we, our service providers, and partners collect technical information when you visit or use Vecinos App, interact with our partners, or interact with our or our partners' marketing communications, including: • Device data, such as your device manufacturer and model, operating system and version, screen resolution, RAM and disk space, CPU usage, unique identifiers (including those used for advertising purposes), collision data (if applicable), the device settings you have activated, carrier, radio/network information (e.g., Wi-Fi, LTE, 3G), and general location information, such as city, state, or geographic region. Device and software settings affect the information your device makes available to us. • Online activity data, such as the date and time of your visit, length of access, browser or app version you used (and its settings), URLs you came from and went to, and how you used Vecinos App and interacted with our emails and other messages (for example, how you navigated and which links you clicked). Some of the data collection described above is facilitated by cookies and similar technologies, as described in more detail in our Advertising and Cookies Policy.   2.3. From Third Parties and Public Sources. We may collect information from third parties (such as service providers and partners) and public sources. For example: • Vecinos App Members can sync their contacts with Vecinos App, including their contacts' email addresses, mailing addresses, and phone numbers. • Providers provide us with information about maps and residential addresses to help us launch Vecinos App in new neighborhoods and update existing ones. • Providers provide information about Members and their homes for advertising, analytics, personalization, and evaluation purposes. • Providers and partners provide information about businesses to help us create business pages and offer our Services to businesses. • Advertisers provide us with information about their users or potential customers to help us personalize advertising and evaluate the performance of their ads. • Public sources such as census data, street addresses, parking maps, and change of address information provide us with information that helps us understand our members, improve our Services, and determine potential areas for expansion.  

3. How is my information used? We use personal information for the following purposes or as described at the time of its collection: 3.1. Neighborhood Establishment and Development. We use personal information to identify and invite potential new members to Vecinos App, and to set up new Vecinos App neighborhoods. For example, you may ask us to send you invitations and reminders on your behalf, send direct mail invitations, invite your friends, or notify you when we begin offering the Services in your neighborhood. 3.2. Onboarding to Vecinos App. To get Members started on Vecinos App, we use personal information to: • Confirm Member accounts using various techniques, such as third-party data and public records checks, verification codes, or geo-verification. We also use public records to block registered sex offenders in the United States (and other countries where permitted by law) from subscribing to the Services. In some circumstances, we may request additional information (such as government-issued identification and business documentation) to confirm Member accounts. • Notify neighbors of new Members as they join the neighborhood. • Complete Member profiles and customize Vecinos App. Create and offer Business Services that help Members learn about businesses and startups in their communities. To claim your Business Page, click here.  3.3. Offering and Improving the Services. We use manual and automated systems to analyze and use your Content (as defined in the Member Agreement) and other information, for example: • To provide Vecinos App services, suggest neighborhoods, invite neighbors, and improve our products and features. • To help you create, post, view, share, and respond to Content, including highlighting interesting posts. • To highlight groups, neighborhood topics, or other resources. • To administer and obtain feedback through surveys, sweepstakes, contests, or other promotional activities. • To highlight businesses, advertisements, offers, products, and services that may be of interest to you. • To provide Services to Businesses and Enterprises, such as enabling Business Pages and promotional services. To personalize your experience. To understand trends, usage statistics, and demographics of the Members and neighborhoods we serve. • To respond to your requests for support and feedback. • To test and evaluate potential new products and features in Vecinos App. • To diagnose and resolve issues, analyze trends, and monitor resource usage and needs. To accept payments through our third-party payment processors. • To facilitate the delivery of urgent alerts. • To communicate with you about the Services, including to send announcements, updates, security alerts, and support messages via email, notifications, and text messages.   3.4. Creating and Maintaining a Trusted Environment. We may use your information to help create and maintain a trusted environment on Vecinos App, for example: To detect and prevent fraud, spam, abuse, security incidents, and other harmful, unauthorized, unethical, or illegal activities. To conduct security investigations, audits, and risk assessments. To comply with our legal obligations. To confirm or authenticate information or identification. For the legal and security reasons described in section 4.3.    3.5. Advertising. We use your information to provide and improve advertisements and other commercial offerings both on and off the Services: • To help personalize ads based on what we think will be of interest to you. • To deliver and evaluate the effectiveness of personalized advertising, including to understand whether it is interesting to Members and effective for the advertiser. • To improve ad personalization. • To send you promotional messages, marketing, advertising, and other information that we believe may be of interest to you. To invite you to relevant events and opportunities. We may customize the advertising offers you see on Vecinos App based on information from our advertisers or suppliers, your neighborhood demographics, or your actions, selections, or preferences on Vecinos App. For example, a home service company might provide a list of addresses eligible for an offer that we can offer to Vecinos App members living at those addresses. Or, if you search on Vecinos App for a particular product, we may show you ads for providers of that product or related or similar products. Our third-party advertising partners also use cookies and similar technologies to collect information about users for advertising purposes as described in section 4.4 below and in our Advertising and Cookies Policy.    3.6. Research and Development We may use your personal information for research and development purposes. As part of these activities, we may create aggregated, non-identifiable, and/or anonymous data from the personal information we collect. We anonymize personal information by removing information that is presumed to identify you personally. We may use this anonymized data and share it with third parties for our lawful business purposes, including analyzing and improving the Services and promoting our business.

4. Is my information shared with third parties? We share personal information as follows: 4.1. Content shared on Vecinos App. Vecinos App is a platform for neighbors to share useful information. To this end, the Content you post on Vecinos App, such as posts, replies, recommendations, messages, and profile information, may be visible to other Members, businesses, governments and agencies, or the public, including Visitors (as defined in the Member Agreement) and search engines. You can adjust the visibility of your posts in your settings, preferences for the Content you provide, and as described in Section 5 below. Be sure to read the options available to you in the "What are my choices?" section below. If this information is cached by third-party search engines or other third parties, please be aware that we do not control the practices of these third parties, and they may use caches that contain outdated information. Please refer to the privacy policies of these third parties.    4.2. Account Information. We may share your Personal Information with our verification partners, such as telecommunications providers (if you choose to confirm your account by providing your mobile phone number) and data providers to confirm your account. 4.3. Legal and Security Reasons. We may retain, preserve, or share your Content and personal information with law enforcement, government authorities, and private parties if we believe in good faith that it is reasonably necessary to: (i) respond, pursuant to applicable law, to a legal request (e.g., a subpoena, search warrant, court order, or other government or law enforcement request); (ii) detect, investigate, prevent, and address fraud and other unauthorized, illegal, or unethical activity, security issues, or technical problems; (iii) protect our rights, property, or safety, and those of third parties; (iv) enforce our Member Agreement or any other agreement we have with you; and (v) prevent physical injury or other harm to any person or entity, including you and members of the general public. For example, we may share your personal information with humanitarian organizations, first responders, and others to facilitate disaster or emergency response efforts.    4.4. Advertising. If you view, click, or respond to an advertisement or other offer on the Services, we may share your response and limited Member profile information with the advertiser, and we may record your interaction as part of tracking the overall effectiveness of the advertisement. We may also pre-populate responses to ads you click with your contact information, but that information is not shared with the advertiser without your consent. The Services are supported by third-party advertising networks. With your consent, our advertising partners use cookies and similar technologies to collect information about our Members and their devices over time on Vecinos App and other online services. Where permitted by applicable law, we may share certain limited personal information, such as hashed email addresses and advertising identifiers, with our advertising partners who help deliver online advertising targeted to those Members or similar audiences. Our advertising partners may associate this information with you based on your advertising identifiers or other personal information they have about you. Our advertising partners use the information they collect to provide our Members with personalized ads on Vecinos App and across various websites and services, and to evaluate the effectiveness of the ads.    4.5. Third-Party Partners. Vecinos App may partner with third parties to offer Members the ability to book various services, such as home improvements, dog walking, personal training, and private lessons. These offers may be integrated into Vecinos App, or Vecinos App may contain links to other websites or apps that offer these offers. In order to tailor these offers to you, we may share limited personal information with these third parties, such as your neighborhood or zip code, the commercial topic of the content you are viewing, or a business search query (for example, a search for "plumbing services"). When you interact with one of these offers, you may be sharing additional information (such as contact information) directly with the third-party partner. If you interact with third-party partners through Vecinos App, these third parties may share certain personal information about you with us to allow us to coordinate, evaluate, and improve the services provided to you. This may include information about a reservation you make with the third party, such as the type of service, the name and address of the provider, and the time of the reservation. These third parties have their own privacy policies, which will apply to your activity if you click on their offers or interact with them on Vecinos App or other websites or applications.    4.6. Service Providers. We may also share your personal information with service providers or data processors who help us operate, provide, improve, understand, personalize, support, and market our Services. These service providers and data processors are contractually obligated to use it only to provide their services to us and are contractually prohibited from using it for their own purposes. They offer a variety of services, including payment processing, information technology, cybersecurity, fraud prevention, hosting, customer relationship management and support, communications delivery, marketing, advertising, and website and mobile application analytics.    4.7. Social Media. Our Services include certain social media features, including the social media sharing button. If you choose to share a post using the social media sharing button, information about that Content will be shared with the applicable social media platform.    4.8. Within Vecinos App Corporate Family. We may share your information within our "corporate family," which includes Vecinos LLC, Vecinos Inc., etc., to offer, maintain, and improve Vecinos App. Some of these companies may not be located in your home country. As we grow and Vecinos App becomes available in more countries, we may expand the corporate family within which we share your information by establishing local subsidiaries or other affiliates in these countries as needed to help us establish Vecinos App.    4.9. Business Reorganization. We may need to share your personal information with relevant participants in transactions (or potential transactions) involving a divestiture, merger, consolidation, acquisition, restructuring, reorganization, sale, or other transfer of some or all of the assets or equity interests of Vecinos App or our affiliates (including in connection with a bankruptcy or similar proceeding).    4.10. Professional Advisors. We may share personal information with our professional advisors, such as lawyers, auditors, bankers, and insurers, when necessary in the course of the professional services they provide to us.

5. What are my choices? You can choose the extent to which your personal information, such as your street address, is shared on your personal profile and alongside your posts through your account settings. You can modify these account settings at any time. When you post content on Vecinos App, you can also choose who can see your post. You can read more here about your options for sharing and displaying your posts. Some of these options may not be available for our Business Services, such as our Business Pages. You can opt out of receiving personalized advertising from third parties by adjusting your cookie settings or modifying the privacy settings on your mobile device. To learn more about our use of cookies, mobile advertising identifiers, and similar technologies and how to adjust your settings, please see our Advertising & Cookie Policy. Our systems are not currently set up to accept “Do Not Track” signals from browsers as there is no industry standard for managing them. Please see our jurisdiction-specific disclosures in Section 11 below for more information about the legal rights you have if you live in a listed jurisdiction.


6. How long is my information retained? We retain your information in our server logs, databases, and files for as long as necessary to provide the Services. We may need to retain some of your information for an extended period, such as to comply with our legal or regulatory obligations, to resolve disputes or defend against legal claims, or to enforce the Member Agreement.

7. How is my information protected? 7.1. Account Security. Vecinos App uses technical and organizational measures to keep your data secure, including the use of https on our web pages to reduce the risk of unauthorized access to your communications when you visit the website and two-factor authentication when required. However, the Internet is not a completely secure environment, and we cannot guarantee that your personal information will not be subject to unauthorized interception or access. Please ensure you keep your password secure and do not share it with anyone.    7.2. Other Services and Websites. When using Vecinos App, you may encounter links to websites and services operated by third parties that are not owned or controlled by Vecinos App (for example, if a Member shares a link to a video on YouTube or if an advertiser provides a link to a contest or sweepstakes). This Privacy Policy does not apply to information collected on any third-party sites or applications that may be linked to or accessible from the Services. These third parties have their own privacy policies, which will apply to any personal information they collect. We do not accept any responsibility for the privacy and security practices of such external sites.


8. Minors. Minors may not use the Services if they are under the age of 13 or are not old enough for Vecinos App to process their personal information without parental consent or the age of majority in their place of residence. If you believe we may have collected personal information from a minor in one of these categories, please contact us at Admin@vecinos.com. If we learn that we have done so, we will delete your personal information.


9. Amendments to this Privacy Policy. We may make changes to this Privacy Policy from time to time, so please review it periodically. If we significantly change our Privacy Policy, we will take steps to notify you in advance of such changes, as required by applicable law, for example, by email or a notification in your Neighborhood Content. If you object to any changes, you may close your account. You acknowledge that your continued use of our Services after we post or send a notification about our changes to this Policy means that the collection, use, and sharing of your personal data is subject to the updated Privacy Policy, as of its effective date.


10. Delete Account. You can delete most of the content you have posted on Vecinos App by logging into your Vecinos App account. If you have an account, select the "Profile" option in the first drop-down menu and then the "Delete Account" option.


11. Identity Verification. We will need to verify your identity to process your information, access, and deletion requests, and we reserve the right to confirm your residency. If you are a Member, you can verify your identity by submitting your request while logged into your Vecinos App account. If you are a visitor or a Member who cannot access your Account, we may verify your identity by asking you to provide government identification, make a statement about your identity under penalty of perjury, respond to a text message sent to the phone number we have on file, and/or provide additional information.


12. Under what legal basis is my information collected? To the extent required by applicable law, we will collect your personal information with your consent when necessary and in accordance with our legitimate need to provide our Services to you. Below we describe these legal bases in more detail and some accompanying examples. • Execution of the Member Agreement. Vecinos App processes your information to the extent necessary to fulfill the contract we have entered into with you, the Member Agreement. For example: – We use your information to create your account and grant you access as a Member on Vecinos; • Your consent. Vecinos App processes certain information based on your consent, which you may revoke at any time. For example: – We and our partners use cookies and similar technologies, as described in more detail in our Cookie Policy, based on your consent; – When you choose a verification method to confirm your address, we will do so in accordance with your consent; – If you choose to use location services within Vecinos App, we collect and process such location information based on your consent; – We rely on your consent to tailor ads based on actions and information outside of Vecinos App, including your activity on other websites and partner data, such as inferred interests; – We will send you marketing communications when you have consented to receive such communications in accordance with applicable law;  – When you request that we notify you when Vecinos App is available in your neighborhood, we will do so based on your consent. • Legal Obligation. Vecinos App may process your information to comply with a legal obligation, a court order, or to pursue or respond to legal action. For example: – We may retain and disclose your information if necessary to respond, based on applicable law, to a valid legal request (for example, a subpoena, search warrant, court order, or other binding government or law enforcement request);  – We may retain and process your information when necessary to comply with applicable tax laws. • Vital Interests. Vecinos App may process your information in certain circumstances when necessary to protect your vital interests or those of others. For example:  – We may need to process your information to protect your life or safety or the life or safety of others, or to prevent physical injury or other harm to any person, including you, other members, visitors, staff, or the public; – We may retain or share your information with law enforcement and related authorities when we believe in good faith that it is necessary in the context of an imminent threat;  – We may share your personal information with humanitarian disaster relief organizations, emergency personnel, and others to facilitate response efforts in the event of a disaster or emergency. // Legitimate Interests. We may process your information when necessary for the purposes of the legitimate interests of Vecinos App or a third party, such as those of visitors, members, or partners. In particular, we process your information for the following legitimate interests: – Maintaining the security of the Services: We use your information because it is necessary to pursue our and our Members' legitimate interests in ensuring the security of Vecinos App, such as implementing and improving security measures and protections, protecting against fraud, spam, and abuse, and enforcing our Member Agreement. – Offering, improving, and developing the Services. We use your information to provide the Services, including personalized services, and to understand and improve our business and relationships with Members. We do this because it is necessary to pursue our legitimate interests in providing an innovative and tailored offering to our Members on a sustained basis. – seamless service provision across Vecinos App group of companies. When the Services require the participation of other Vecinos App companies, we share your information with those affiliates to provide and improve the Services. – providing advertising, evaluation, and analytics services. Community Guidelines: Because we want everyone to feel welcome in Vecinos App, we've created these guidelines to define the values ​​of the community we want to build. In Vecinos App, what connects us with others isn't the preferences we share, but the experiences we share in one place: our neighborhood. Together, let's build a more dynamic and supportive neighborhood. 1. Respect your neighbors. Remember that you're talking to your neighbors. A dynamic and supportive community is built on strong relationships between neighbors. We encourage neighbors to engage in conversations about topics that interest them in a respectful and constructive way for the community. Of course, you can think whatever you want, but in Vecinos App, conversations should never cross the boundaries of good manners. It's not always easy, because we care deeply about the place we call home: our neighborhood. If something a neighbor has said or done bothers you, take a deep breath, count to three, and then post something sensible and constructive. 1.a. Tips for a Civilized Conversation. All neighbors should feel welcome, safe, and respected when using Vecinos App. Although it may be difficult for us to agree with others, we can always learn something from their opinions, no matter how different they may be from our own. We encourage neighbors to approach conversations from different perspectives, with understanding and empathy. / Follow these tips to disagree respectfully: – Reflect before participating in a conversation. Ask yourself before getting involved if your words will change the understanding and empathy of your community. – Challenge the idea, not the person. Focus on the facts or ideas you want to convey, with respect and without personal attacks. – Don't assume anything. When in doubt about what someone has said, ask for clarification and show your willingness to listen o the response. – Avoid generalizing or simplifying. Generalizations can distract from the underlying issue and give the impression of insensitivity. – Acknowledge common ground. Even if you don't agree with someone on every point, let them know that you appreciate something they have said or done. – Encourage understanding. If you participate in a conversation on Vecinos App that has taken a hurtful or offensive turn, do what you can to foster empathy and understanding. – Identify clear actions your community can take. Try to provide solutions that recognize and address the needs and concerns of all residents in your neighborhood. – Cite sources. If you share data, always include the source to provide clarity and support the discussion with facts.    1.b. Public Shaming. Public shaming has no place on Vecinos App. Whether directed directly or indirectly at a neighbor, a public figure, or the victim of a crime, public shaming is harmful and uncivil. Criticism of a service provider due to a bad business experience does not constitute public shaming (even if a specific person is identified), as long as the post is written in a civil manner, describes the person's experience, and does not include defamation or insults.    2. No Discrimination. We do not tolerate racism, hate speech, or discrimination of any kind. The people on Vecinos App are your neighbors, and EVERYONE should feel that this is their place. Racism and racial discrimination create an environment of exclusion, intimidation, and fear. No one should feel this way in any neighborhood, but it is especially serious if it is the neighborhood where we live. We have a strict policy against racist behavior, discrimination, and any type of hate speech in posts and conversations on Vecinos App. Before posting anything that could be construed as racist or discriminatory, you should ask yourself the following: – How would you feel if someone addressed your child, mother, or partner in this way? – Is this a statement or point of view you would share at work, at your place of worship, or at a neighborhood gathering? – Would you make the same comment if you were in front of the person or group you're referring to? – Pause and reflect on how your words might affect your neighbor. – If you see a post or comment on Vecinos App that you consider discriminatory or racist, follow these steps to notify us. We are committed to removing any content (posts, comments, profile pictures) or racist behavior that violates this policy. Furthermore, residents who repeatedly engage in this behavior will be subject to temporary or permanent expulsion from Vecinos App. / This behavior includes, but is not limited to: 2.a. Racism, discrimination, or insults. Discriminating against, threatening, or insulting individuals or groups based on their color, ethnicity, immigration status, national origin, religion or faith, sex or gender identity, sexual orientation, housing situation, disability, or health status. Assuming that someone is involved in suspicious activity or criminal behavior simply because they belong to a certain ethnic group. Applying negative stereotypes, generalizations, or caricaturing certain groups. This includes the use of insulting images or memes. Using insults, profanity, derogatory racial terms, or other language that undermines a person's human condition. This includes the use of dehumanizing terms such as “illegals,” “illegal aliens,” or “foreigners” to refer to non-citizens, the use of racial code words (e.g., “little ball” or “umbrella”), and the use of pejorative language to refer to people with criminal records (e.g., “social scum” or “beasts”). Rejecting a person's gender identity or sexual orientation or promoting support for sexual reassignment therapy and related programs. 2.b. Incitement of hatred, violence, or threats. Showing or soliciting support for violent individuals or groups that promote hateful activities. Promoting hate-inspired conspiracy theories and misinformation (e.g., Holocaust denial). Suggesting, showing, threatening, or glorifying the use of violence, even jokingly, against an individual or group. See our policy on threats to personal integrity. Attempting to justify or trivialize violence against others, even unintentionally (e.g., "Yes, but that person is a criminal"). 2.c. Marginalized groups. Attacking individuals, including public figures, based on their membership in a marginalized or protected group. Mocking or attacking the beliefs, sacred symbols, movements, or institutions of marginalized or protected groups. Protected or marginalized groups include: people who belong to a specific group because of their color, ethnicity, immigration status, national origin, religion or faith, sex or gender identity, sexual orientation, disability, or health status. They also include people who belong to a group because of their economic or housing situation, age, weight or size, pregnancy, or veteran status.   3. Discuss important issues through moderation. We have policies and spaces dedicated to addressing important issues that are not local, such as national politics. Veterans App is a space to discuss issues that are important to your local community. "Local" issues are those that only affect the local community (e.g., a new building, a specific ballot initiative, a municipal election, etc.). "National" issues are those that go beyond the local level and address national issues (e.g., general elections, congressional activity, and topics like poverty and the economy). Groups allow you to post and discuss politics, national issues, and campaigning. Groups provide a dedicated space for those interested in organizing campaigns or discussing politics or national issues with their neighbors and want to do so using Vecinos App. Of course, there are also Groups dedicated to local and municipal politics. If you don't find a Group that addresses a particular topic that interests you, create one. Conversations in Groups, however, should always be respectful and civil and adhere to our Community Guidelines. We know that religion is an important part of life for many people who want to share it with other like-minded neighbors. We also know that some people prefer not to hear about their neighbors' religious beliefs. To ensure both groups can be hosted on Vecinos App, we ask that discussions about religion take place in Groups created by neighbors.   4. Promote Local Businesses Appropriately: We have created reserved spaces for Members and neighborhood businesses to sell their products and services. Those who wish to sell or give away personal or homemade items can do so for free. Businesses and residents who offer occasional services (for example, dog walking or babysitting) must create a free business page. If you offer occasional goods or services (dog walking, babysitting), you will need to provide official business documentation to verify your business page and be able to post messages in the news feeds of nearby neighborhoods. If you do not have this business documentation, you can promote your services from your personal account. All these rules also apply to individuals who occasionally sell handmade products or provide services to earn extra income. We advise residents who provide goods or services to also create a business page where they describe their interests and the goods or services they offer. 4.a. Promoting Your Business. Small business owners, occasional service providers, and home service providers can participate in Vecinos App. To list your business, you must first create or claim a business account, which displays basic information about your business or services. By adding your business information to Vecinos App, your neighbors will be able to easily find you when searching for products, services, or recommendations. With your business account, you can see recommendations made by other neighbors about your business and share posts (if your business is verified). 5. Use Your True Identity. Vecinos App is built on trust. We want everyone to understand that they are talking to each other, so it's critical that you use your real identity. Our Member Agreement requires all neighbors to use their full, real name when registering for Vecinos App. By real name, we mean the name you use when introducing yourself to neighbors, friends, and colleagues, and your last name. 5.a. Real Addresses. Vecinos App aims to provide a safe online space where neighbors can discuss things they would share in person. To build this sense of trust, neighborhood membership is only available to those who live or own a home in the community. We also ask all neighbors to confirm their account. 5.b. Your Profile and Photo. One of the goals of Vecinos App is to encourage neighbors to meet each other in real life. That's why it's so important to include your photo and complete information about yourself on your profile. Sharing a recent photo and information about yourself on your profile helps strengthen relationships and build trust in the community. It will also help your neighbors recognize you on the street, in a park, or at a community meeting. 6. Do no harm to anyone. We prohibit any activity that causes harm or damage to anyone, from threats to physical safety to scams. 6.a. Properly Reporting Suspicious or Criminal Activity. Ensuring neighborhood safety is important to our neighbors. Always call 911 first to report any safety concerns. Veterans App strongly rejects racially biased descriptions. We expressly prohibit posts that assume someone is suspicious simply because they belong to a certain ethnicity or that provide descriptions so vague as to raise suspicions about a particular ethnic origin. These types of messages serve no purpose and, rather than help, harm the community. 6.b. Using Urgent Alerts An Urgent Alert is a special type of post that immediately reaches Vecinos App neighbors via push notifications and in-app notifications. Urgent alerts are intended to disseminate essential information in exceptional circumstances where safety is at stake and time is of the essence. Therefore, it is inappropriate to send an urgent alert when there is no emergency situation, and it will likely upset your neighbors. 6.c. Threats to personal safety are not permitted. If we are informed that a person is in imminent danger, we will inform the appropriate local authority. In any case, notifying Vecinos App does not mean that you do not have to report it to the appropriate authority. If you believe your physical safety or that of another person is at risk, call 911 or contact the appropriate local authority. 6.d. Fraud and spam are not permitted. Fraudulent content, phishing attempts, or content we consider spam are not permitted. 6.e. Regulated or illegal products or services are not permitted. Vecinos App is a family-friendly platform, open to neighbors 13 years of age and older. We prioritize the safety of all our neighbors, young and young at heart. Therefore, the purchase, trade, sale, or distribution of many items that are known to be restricted to minors or regulated by the government is prohibited. 6.f. No sexually explicit or implicitly sexual content. Posting photos containing nudity or content of an explicit or implicitly sexual nature is not permitted. Sending unsolicited private messages seeking to connect with or express romantic interest in other neighbors is also prohibited. 6.g. Privacy Violations Are Not Allowed. To protect the privacy of all neighbors, please do not post or share private information without permission. Our Community Guidelines aim to ensure that all neighbors feel welcome, safe, and respected when using Vecinos App. If you see posts or comments that violate these guidelines, please notify us so we can remove them. Remember that disagreeing with a post is not grounds for reporting it. This hinders our ability to remove truly abusive content and build a platform that contributes to more vibrant and supportive communities. However, we won't always get it right. Occasionally, we won't be able to remove content that violates our Community Guidelines or we mistakenly remove content that belongs on Vecinos App. If you notice any of these circumstances, please don't hesitate to let us know. We are committed to doing the right thing and to learning, persisting, and continually improving along the way.
